These Partner Program Terms of Service (the “Terms”) govern participation in the Mind Hives Outsourcing LLC (“Mind Hives,” “we,” “our,” or “us”) partner and affiliate program (the “Program”). By applying to or participating in the Program, you (“Partner,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree, do not participate in the Program.
1. Eligibility
To participate, you must:
Be at least 18 years old,
Provide accurate registration information, and
Operate a legitimate business, website or marketing channel.
Mind Hives reserves the right to approve or reject any application at our discretion.
2. Partner Responsibilities
Partners agree to:
Promote Mind Hives in an honest and ethical manner,
Comply with all applicable laws, including advertising, privacy, and messaging laws,
Avoid misleading claims about Mind Hives services,
Clearly disclose affiliate relationships where legally required.
You may not:
Engage in spam, unsolicited messaging or deceptive practices,
Bid on Mind Hives trademarks in paid ads without written permission,
Impersonate Mind Hives employees or representatives,
Use fraudulent methods to generate leads or commissions.
2.a. SMS Messaging Compliance
Partners who promote Mind Hives through SMS must ensure all recipients have explicitly opted in to receive text messages. SMS messages must comply with applicable laws, including the TCPA and similar regulations.
All SMS messages must:
Clearly identify Mind Hives as the sender,
Include opt-out instructions (e.g., “Reply STOP to unsubscribe”),
Include help instructions (e.g., “Reply HELP for assistance”),
Avoid spam, unsolicited messages or misleading content.
Partners are responsible for maintaining records of opt-in consent and must honor all opt-out requests immediately. Violation may result in suspension or termination from the Program.
3. Referral Tracking
Partners will receive a unique referral link.
Referrals are credited when customers use that link and complete a qualifying purchase, subject to Mind Hives’ verification.
We are not responsible for tracking failures caused by user settings, ad blockers or technical limitations outside our control.
4. Commissions and Payments
Commission structure is defined in your PartnerStack dashboard or separate agreement.
Commissions are:
Earned only on qualified, verified transactions,
Calculated after discounts, refunds and chargebacks,
Paid out according to the PartnerStack payout schedule.
If a transaction is refunded or disputed, associated commissions may be reversed.
5. Marketing Materials
Mind Hives may provide approved logos, graphics, messaging, and SMS scripts/templates for promotional use.
Partners agree to:
Not alter brand assets in a misleading or damaging way,
Ensure all SMS communications adhere to compliance guidelines, including opt-in/opt-out requirements.
Only use personal data, including phone numbers, for explicit, consented communications.
Unauthorized or non-compliant messaging may result in suspension or termination from the Program.
6. Term and Termination
Participation begins upon acceptance and continues until terminated.
Mind Hives may suspend or terminate participation at any time, with or without cause, including suspected fraud, violation of these Terms, or harm to our brand.
Upon termination:
You must remove all Mind Hives promotional content,
Unpaid commissions for disqualified or pending transactions may be forfeited,
You must ensure that recipients can continue to opt out of SMS messages and honor all opt-out requests.
7.Independent Relationship
Nothing in these Terms creates an employment, agency, franchise or joint-venture relationship.
Partners are independent contractors and are solely responsible for taxes and compliance related to commissions earned.
8. Confidentiality
Any non-public information received from Mind Hives must be kept confidential and used only for Program participation.
9. Intellectual Property
Mind Hives retains all rights to its trademarks, content, software and services.
Participation does not grant ownership or exclusive rights.
10. Limitation of Liability
To the maximum extent permitted by law, Mind Hives is not liable for indirect, incidental or consequential damages arising from the Program.
Total liability under these Terms will not exceed the total commissions paid to you in the preceding six months.
11. Modifications
Mind Hives may update these Terms at any time. Continued participation after changes constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
